1. About This Site

This Site is provided by Excellerate Consulting HR Solutions and its affiliated Excellerate entities (collectively, "Excellerate," "we," "our," or "us"). The Site provides information about HR, staffing, recruiting, workforce management, placement, payroll coordination, back-office support, and related non-IT business services.

We may update, modify, suspend, or discontinue any part of the Site or these Terms at any time. Revisions are effective when posted. Continued use of the Site after changes are posted means you accept the updated Terms.

2. Eligibility and Responsible Use

You may use the Site only for lawful purposes and in accordance with these Terms. You represent that you have the authority to submit information on your own behalf or on behalf of the organization you represent.

3. Informational Nature of Website Content

The content on this Site is provided for general business information. It does not create a staffing contract, client relationship, employment relationship, offer of employment, guarantee of placement, guarantee of candidate availability, or guarantee of hiring outcome. Any engagement for services is governed only by a separately signed master services agreement, statement of work, staffing agreement, client order, purchase order, or other written agreement accepted by Excellerate.

4. Services, Job Listings, and Candidate Submissions

Job postings, candidate descriptions, service descriptions, salary ranges, timelines, screening processes, background verification statements, and availability information are subject to change and may depend on client requirements, candidate qualifications, market conditions, location, applicable law, and final written agreement.

Candidates are responsible for ensuring that resumes, applications, work history, credentials, certifications, identity documents, work authorization documents, and references they provide are accurate and complete. Clients are responsible for providing lawful, job-related requirements and for making final employment, assignment, onboarding, workplace, compensation, and compliance decisions unless otherwise expressly agreed in writing.

5. Equal Opportunity and Lawful Hiring Practices

Users must not request, submit, or use information in a way that unlawfully discriminates on the basis of race, color, religion, sex, pregnancy, sexual orientation, gender identity, national origin, age, disability, genetic information, veteran status, caste, marital status, or any other protected status under applicable law.

6. User Submissions and Posted Content

If the Site allows you to submit resumes, job orders, inquiries, comments, documents, messages, or other materials ("Submissions"), you grant Excellerate a non-exclusive, worldwide, royalty-free license to use, copy, transmit, store, process, share, and display those Submissions as reasonably necessary to evaluate inquiries, deliver services, recruit candidates, support clients, comply with law, and operate the Site.

You represent that your Submissions are accurate, lawful, and authorized. Excellerate has no obligation to screen or retain Submissions and may remove or refuse content at its discretion.

7. Privacy

Your use of the Site is also governed by our Privacy Policy. Please review it before submitting personal information, candidate data, client contact information, payroll-related information, background verification materials, or any other confidential information.

8. Intellectual Property

The Site, its design, text, graphics, logos, icons, documents, service descriptions, trademarks, trade names, and other materials are owned by or licensed to Excellerate and are protected by applicable intellectual property laws. You may view and print pages for internal informational use only. You may not reproduce, modify, publish, distribute, sell, frame, mirror, or exploit Site content without prior written permission.

9. Third-Party Links and Tools

The Site may link to third-party websites, job boards, assessment tools, background verification providers, payroll systems, communication tools, mapping tools, payment processors, or other services. Excellerate does not control and is not responsible for third-party content, security, accuracy, practices, or availability. Review third-party terms and privacy policies before using them.

10. No Warranty

The Site and all Site content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Excellerate disclaims all warranties, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted access, security, and error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, Excellerate will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost profits, lost business, lost goodwill, lost data, candidate loss, hiring delay, or business interruption arising from or related to use of the Site, even if advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold harmless Excellerate, its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Site, your Submissions, your violation of these Terms, your violation of law, or your violation of third-party rights.

13. Copyright Complaints

Include sufficient information to identify the copyrighted work, the allegedly infringing material, your contact details, a good-faith statement, and a statement under penalty of perjury that the information is accurate and that you are authorized to act.

14. Governing Law and Venue

Unless a signed agreement states otherwise, these Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules. Subject to applicable law, disputes relating to the Site will be brought in courts located in Illinois.
